These Terms of Use ("Terms") govern your access to and use of disc-report.com (the "Site") and the content, materials, and services available through it. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. Use of the Site
You may use the Site for lawful purposes only. You agree not to use the Site in any way that could damage, disable, or impair it, interfere with anyone else's use of it, or attempt to gain unauthorized access to any part of the Site, our systems, or our members' portal.
2. Intellectual Property
The content on this Site — including text, graphics, logos, images, and the structure and design of the Site — is owned by Leadership Resources and Consulting, LLC or its licensors and is protected by copyright, trademark, and other laws. You may view and download materials for your own personal, non-commercial reference. You may not copy, reproduce, republish, modify, distribute, or use our content for commercial purposes without our prior written permission.
DISC, 12 Driving Forces, Talent Insights, TriMetrix, and related assessment materials are products of Target Training International, Ltd. (TTI Success Insights) and are used under our partnership with TTI. Those marks and materials remain the property of their respective owners.
3. Trainer Portal and Accounts
Some areas of the Site (such as our trainer resource portal) require an account and are available only to authorized users. You are responsible for keeping your login credentials confidential and for all activity under your account. Resources made available through the portal are licensed for your own professional use in connection with your certification and may not be redistributed or resold.
4. Assessments and Services
Assessments, certification training, and consulting services are provided subject to separate agreements, quotes, or registration terms. Information on the Site about our products and services is for general informational purposes and does not constitute a binding offer.
5. No Professional Advice
The content on the Site is provided for general informational and educational purposes. It is not a substitute for professional advice tailored to your specific situation. Behavioral assessments are tools to support development and decision-making; they are not used as the sole basis for employment or other significant decisions, and you are responsible for using them appropriately and in compliance with applicable law.
6. Third-Party Links
The Site may contain links to third-party websites or resources that we do not control. We provide these links for convenience only and are not responsible for the content, products, or practices of any third-party site. Your use of those sites is at your own risk and subject to their terms.
7. Disclaimer of Warranties
The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that the content is accurate, complete, or current.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LEADERSHIP RESOURCES AND CONSULTING, LLC AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF CAUSED IN WHOLE OR IN PART BY OUR OWN NEGLIGENCE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, FRAUD, OR INTENTIONAL MISCONDUCT, OR FOR ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
Because some jurisdictions do not allow certain limitations, some of these may not apply to you.
9. Indemnification
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS LEADERSHIP RESOURCES AND CONSULTING, LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS, LOSSES, LIABILITIES, OR EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF YOUR USE OR MISUSE OF THE SITE, YOUR VIOLATION OF THESE TERMS, OR YOUR VIOLATION OF ANY LAW OR THE RIGHTS OF A THIRD PARTY.
This obligation does not apply to claims arising from our own gross negligence, fraud, or intentional misconduct.
10. Dispute Resolution; Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
Most concerns can be resolved informally, and we encourage you to contact us first. If a dispute cannot be resolved, you and Leadership Resources and Consulting, LLC agree that any dispute arising out of or relating to these Terms or the Site will be resolved by binding individual arbitration, rather than in court, except that either party may bring a qualifying claim in small-claims court. Arbitration will be administered under the rules of a recognized arbitration provider, and judgment on the award may be entered in any court with jurisdiction.
YOU AND LEADERSHIP RESOURCES AND CONSULTING, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
If this section is found unenforceable as to a particular claim, that claim will proceed in the state or federal courts located in Texas, but the rest of this section will remain in effect.
11. Copyright Complaints
We respect intellectual-property rights. If you believe content on the Site infringes your copyright, please send a notice to our designated agent through our contact form, including: a description of the work, the location of the material on the Site, your contact information, and a statement that you believe in good faith the use is not authorized. We will respond as required under the Digital Millennium Copyright Act (DMCA).
12. Termination
We may suspend or terminate your access to the Site or the trainer portal, in whole or in part, at any time and without notice, if you violate these Terms or if we discontinue the Site. Upon termination, the rights granted to you end, and the sections of these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law) will continue to apply.
13. Severability; Entire Agreement; Waiver
If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full effect. These Terms (together with our Privacy Policy) are the entire agreement between you and us regarding the Site and supersede any prior understandings. Our failure to enforce any provision is not a waiver of it.
14. Changes to These Terms
We may revise these Terms from time to time. The current version will always be posted on this page with its effective date. Your continued use of the Site after changes take effect means you accept the revised Terms.
15. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Subject to the arbitration section above, any dispute relating to these Terms or the Site will be brought in the state or federal courts located in Texas, and you consent to their jurisdiction.
